Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Keipy mobile application and website (collectively, the "Service"), operated by Keipy ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to create a Keipy account. You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You are responsible for all activity that occurs under your account.

2. Description of Service

Keipy lets you create invoices, manage clients, track inventory, collaborate with a team, and optionally use AI features to draft invoices from text or voice input. Keipy is a tool to help you run your business — we are not a party to any transaction between you and your clients, and we do not process or hold your clients' payments on your behalf.

3. Subscriptions & Billing

• Keipy offers a free plan and paid plans ("Keipy Pro" and "Keipy Business") with expanded limits and features.
• Paid plans are auto-renewing subscriptions billed monthly or yearly through your Apple App Store or Google Play account.
• Your subscription automatically renews unless you cancel at least 24 hours before the end of the current billing period. Cancel anytime in your device's subscription settings.
• Prices are shown in the app and may vary by region. Refunds are handled according to Apple's and Google's respective refund policies, as we do not directly process store payments.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose, including fraud or issuing fraudulent invoices
• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service
• Upload content that is unlawful, infringing, or violates a third party's rights
• Use the AI features to generate abusive, deceptive, or illegal content

5. Your Content & Data Ownership

You retain ownership of the business, client, and invoice data you enter into Keipy ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Service. You are responsible for having the necessary rights and consents to store client information (such as contact details) within Keipy.

6. Third-Party Services

The Service relies on third-party providers, including Google Firebase, OpenAI, RevenueCat, and Resend, to deliver core functionality. Your use of features backed by these providers is also subject to their respective terms, to the extent applicable.

7. Intellectual Property

Keipy, its logo, and the underlying software are owned by us and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding outside of normal use of the Service.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not guarantee that invoices generated or AI suggestions produced through the Service are error-free, and you are responsible for reviewing all invoices, amounts, and tax calculations before sending them to clients.

9. Limitation of Liability

To the maximum extent permitted by law, Keipy will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data, arising from your use of the Service.

10. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
